Terms of Service

1. Service Description

MayuAI provides unified API access to multiple AI models including OpenAI, Anthropic, Google, Groq, DeepInfra, and Replicate through a single interface. We offer prepaid credit-based billing for Bangladesh users with local payment methods (bKash, Nagad, Rocket, Credit/Debit Cards).

Our platform also includes automation templates, documentation, and community resources to help you build AI-powered applications.

2. Account Terms

  • You must be at least 18 years old to use this service
  • You must provide accurate, complete, and current registration information
  • One account per person; shared accounts are prohibited
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity under your account, including API key usage
  • You must notify us immediately of any unauthorized access
  • We reserve the right to suspend or terminate accounts that violate these terms

3. Payment Terms

  • Prepaid System: All services are prepaid. You must load credits before usage
  • No Refunds: All credit purchases are final and non-refundable. Credits represent compute allocation and cannot be converted to cash.
  • Credit Validity: Credits are valid for 12 months from purchase date
  • FDK Purchases: Foundation Development Kit purchases are final and non-refundable after delivery
  • Payment Methods: bKash, Nagad, Rocket, Credit/Debit Cards via SSLCommerz
  • Pricing: All prices in BDT. We reserve the right to change pricing with 30 days notice
  • Taxes: Prices exclude applicable taxes. You are responsible for any taxes
  • Failed Payments: Failed payments may result in service suspension until payment is completed

4. Usage Terms

  • Fair Use: You must use our service reasonably and not abuse resources
  • Rate Limits: Rate limits apply based on your plan (Free/FDK/Starter/Pro/Developer/Business)
  • Model Gating: Some models are restricted to higher-tier plans. Attempting to access gated models will result in an error
  • API Keys: Keep your API keys secure. Do not share them publicly or commit them to version control
  • Prohibited Activities:
    • Illegal content generation (violence, hate speech, illegal activities)
    • Harassment, bullying, or harmful content targeting individuals or groups
    • API key sharing, reselling, or unauthorized redistribution (without written authorization)
    • Automated scraping, excessive requests, or attempts to overload our systems
    • Reverse engineering, unauthorized access attempts, or security testing without permission
    • Using our service to compete with us or build competing services
    • Violating any applicable laws or regulations
  • Content Responsibility: You are responsible for all content generated using our service

5. Service Availability

  • Uptime Target: We aim for 99% uptime but provide no guarantees
  • Maintenance: Scheduled maintenance will be announced 24 hours in advance via email and status page
  • Third-Party Dependencies: We are not responsible for upstream API provider outages (OpenAI, Anthropic, etc.)
  • Service Changes: We may modify, suspend, or discontinue features with 30 days notice
  • No SLA: Free tier users have no service level agreement. Paid plans may include SLA (see plan details)

6. FDK (Foundation Development Kit) Terms

  • Limited Availability: Limited to first 100 users only (early bird pricing)
  • Lifetime Discount: 12.12% API credit discount applies for lifetime of account
  • Templates: Automation templates provided "as-is" without warranty
  • Community Access: Community access (Telegram, WhatsApp, Facebook) is permanent for founders
  • Non-Transferable: FDK benefits are non-transferable and tied to your account
  • Future Templates: Additional templates will be released in January 2025 and automatically added to your account
  • Commercial Use: Templates can be used for commercial projects and client work
  • No Refunds: FDK purchases are final after delivery

7. Intellectual Property

  • Your Content: You retain ownership of content you create using our service
  • Processing License: You grant us a license to process your requests to provide the service
  • Our Platform: Our platform, code, documentation, and branding are protected by copyright and trademark
  • Templates: Templates and documentation are for your use only. Redistribution requires written permission
  • AI Model Output: Content generated by AI models is subject to the respective provider's terms
  • Feedback: Any feedback you provide may be used by us without compensation

8. Termination

  • By You: Cancel your account anytime from dashboard settings. Credits are non-refundable upon cancellation.
  • By Us: We may suspend or terminate accounts for ToS violations, fraud, abuse, or legal reasons
  • Effect: Upon termination, your access to the service will be immediately revoked
  • Unused Credits: Unused credits are forfeited upon termination. Credits represent compute allocation and cannot be converted to cash.
  • Data Retention: Account data will be deleted 30 days after termination (except payment records required by law)
  • Survival: Sections on payment, intellectual property, and liability survive termination

9. Limitation of Liability

MayuAI is provided "as is" and "as available" without warranties of any kind. We are not liable for:

  • Loss of data, revenue, profits, or business opportunities
  • Content generated by AI models (accuracy, appropriateness, or legality)
  • Third-party API provider issues, outages, or changes
  • Indirect, consequential, incidental, or punitive damages
  • Service interruptions, delays, or errors
  • Security breaches beyond our reasonable control

Maximum Liability: Our total liability is limited to the amount you paid in the last 3 months, or BDT 1,000, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless MayuAI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the service
  • Content you generate or share
  • Violation of these terms
  • Violation of any third-party rights

11. Dispute Resolution

Governing Law: These terms are governed by the laws of Bangladesh.

Jurisdiction: Any disputes shall be resolved in the courts of Dhaka, Bangladesh.

Mediation: Before filing a lawsuit, parties agree to attempt good-faith mediation for 30 days.

12. Changes to Terms

We may update these terms from time to time to reflect:

  • Changes in our services or features
  • Legal or regulatory requirements
  • Business practices or policies

Notification: We will notify users of material changes via email and platform notification at least 30 days before they take effect.

Acceptance: Continued use of our service after changes constitutes acceptance of the updated terms. If you do not agree, you must stop using the service and may cancel your account.

13. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
